ERICZO Sync License Standard Terms

Version: 22 October 2026

These Standard Terms apply to every ERICZO fixed sync license. Together with the License Sheet issued for each purchase, they form the entire agreement between the parties. If the License Sheet and these Standard Terms conflict, the License Sheet prevails.

1. Definitions

  • Licensor: the person identified in the License Sheet, professionally known as ERICZO, sole owner of the musical composition and of the sound recording (master) of each Track.
  • Licensee: the end client named in the License Sheet, on whose behalf the Production is made and published.
  • Purchaser: any agency, editor or producer who buys the license on behalf of the Licensee, if different from the Licensee.
  • Track: the musical work and its master recording identified in the License Sheet.
  • Production: the single audiovisual or audio work identified in the License Sheet. For a podcast, the Production is one identified season of up to 12 episodes.
  • Cutdowns: shorter edits and versions of the same Production, using the same footage or audio content.
  • License Type and Tier: the category of use and the audience level defined in the Schedule.

Independent Film: a film that, at the origin of the project, is not produced or commissioned by a film studio, a television channel or a major streaming platform. A film keeps this status if it later obtains TV or VOD distribution.

2. Grant of rights

2.1. Subject to full payment of the License Fee and to these Standard Terms, Licensor grants Licensee a non-exclusive, non-transferable, non-sublicensable, worldwide license to synchronize and reproduce the Track (composition and master) in timed relation with the Production, and to make the Production available within the Permitted Media of its License Type.

2.2. The license covers one Production only, including its Cutdowns. Any other production, including a new episode, campaign or video, requires a new license, except the episodes of the podcast season covered by the license.

2.3. Licensee may edit the Track (length, cuts, fades, loops, volume) only as needed to fit the Production. Licensee may not remix the Track or release it, alone or edited, as a separate audio work.

2.4. This license is "one-stop": it covers both the composition and the master. No other authorization from Licensor is required for the uses granted.

2.5. Licensee may allow distributors, broadcasters and platforms to distribute or broadcast the licensed Production within its Permitted Media, as part of the Production only. They acquire no separate right in the Track.

3. Term

Once the Production is published in compliance with this license, it may remain available within its Permitted Media without time limit. The license applies to the Production as licensed; it does not extend to later productions.

4. Permitted media

4.1. Permitted Media are defined for each License Type in the Schedule. Unless stated otherwise, they are limited to unpaid web use: organic publication on the Licensee's own websites, channels, social media accounts and podcast feeds. Unpaid web means publication with no payment to a platform or any third party to promote or place the Production. Monetization of the Licensee's own channel through the platform is allowed. Content sponsored or paid for by a brand is not unpaid web and requires a quote.

4.2. The following are excluded and require a separate quote: any paid media (advertising, sponsored or boosted posts, paid placements), television broadcast, radio broadcast, cinema (except festival screenings covered by the Film license), video-on-demand services for films and series, whether subscription, transactional or ad-supported (this exclusion does not apply to the video-sharing, social media and podcast platforms permitted for each License Type), trailers, video games, apps, and any publication on an account above the highest Tier.

5. Tiers

5.1. The Tier is determined by the number of followers or subscribers of the largest account, channel or podcast feed on which the Production is published, on the date of the license. Licensee warrants that the information given for the Tier is accurate.

5.2. If the Tier declared was lower than the actual Tier on the date of the license, Licensee shall pay the price difference within 14 days of Licensor's written notice. Failing payment, the use is unlicensed.

5.3. Audience growth after the license date does not affect a Production already licensed. Later productions are licensed at the Tier applicable on their own license date.

6. Restrictions

Licensee and any Purchaser shall not:

  1. register the Track, or the Production for its music, with YouTube Content ID or any other content identification or fingerprinting system;
  2. sell, distribute, share or make available the Track as a standalone audio file, including in a sound library, sample pack or soundtrack release;
  3. use the Track outside the licensed Production, or in paid media without a separate license;
  4. sublicense, assign or transfer the license, except delivery of the Production by the Purchaser to the Licensee and distribution of the Production under Section 2.5;
  5. claim authorship or ownership of the Track, or register it with a collecting society or any database as their own;
  6. use the Track, in whole or in part, to train, fine-tune or test any artificial intelligence or machine learning system, or as input, prompt or reference to generate music or audio;
  7. use the Track in content that is illegal, hateful, defamatory, sexually explicit, or part of a political campaign (party, candidate, election or referendum), or in any way suggesting that ERICZO endorses a person, product or opinion.

7. Credit

7.1. Credit is mandatory for every license, in the following form: Music: "[Track title]" by ERICZO — ericzo.com

7.2. The credit must appear in the placements defined for the License Type in the Schedule.

7.3. If the credit is missing or incorrect, Licensee shall correct it within 14 days of Licensor's written notice. Failure to do so is a material breach of this license.

8. Ownership and collective royalties

8.1. Licensor retains all rights, title and interest in the Track. No ownership, share of the composition or share of the master is transferred.

8.2. The Track is registered with SACEM. The License Fee covers the synchronization and master use authorized here only. Royalties due to authors for the public performance or communication of the Production (for example on broadcast, cinema or online platforms under their own agreements with collecting societies) are not included and remain reserved to Licensor.

8.3. Where music reporting is customary (cue sheets for films, festivals or broadcast), Licensee shall report the Track with its title, author and duration of use, and provide a copy to Licensor on request.

9. Delivery

After payment and, where a Purchaser is involved, the written acceptance under Section 13, Licensor delivers the Track as a high-quality audio file (WAV and/or MP3) by download link or email.

10. Warranties and liability

10.1. Licensor warrants that Licensor is the sole author and sole owner of 100% of the composition and of the master of the Track, that the Track contains no third-party samples or material, and that Licensor has full authority to grant this license.

10.2. Licensee warrants that the information given in the License Sheet is accurate and that the Production complies with applicable law. Licensee is solely responsible for the content of the Production.

10.3. Each party shall indemnify the other against third-party claims arising directly from its own breach of these Standard Terms.

10.4. To the extent permitted by law, each party's total liability under this license is limited to the License Fee paid. This limit does not apply to fraud, gross negligence, wilful misconduct, or any liability that cannot be limited by law. A Tier declared in good faith below the actual Tier is regularized under Section 5.2. The limit does not apply to Licensee's liability for any use outside this license (Permitted Media, Tier or Restrictions), except a Tier error regularized under Section 5.2.

11. Payment

11.1. The License Fee is set in the Schedule and stated in the License Sheet. The license takes effect only upon receipt of full payment.

11.2. Once the files are delivered, the License Fee is non-refundable, except where mandatory law provides otherwise. Where Licensee is a consumer, Licensee requests immediate delivery of the digital files and acknowledges that, where the law allows, the right of withdrawal ends upon delivery.

11.3. Taxes. The total amount payable by Licensee, including any VAT or similar taxes that Licensor is legally required to charge, is stated in the License Sheet before payment. Any applicable tax is shown on the invoice. Where a reverse-charge mechanism applies, Licensee accounts for that tax under applicable law. Licensee shall not withhold any tax from the License Fee unless required by law. Where withholding is legally required, Licensee shall provide appropriate withholding documentation, and Licensor shall provide, upon reasonable request, applicable tax forms to claim available treaty benefits. Any amount lawfully withheld and remitted to the relevant tax authority, supported by appropriate documentation, shall be deemed paid toward the License Fee.

12. Breach and termination

12.1. If either party breaches these Standard Terms, the other party may send a written notice describing the breach. The breaching party has 14 days from receipt to cure it, where it can be cured.

12.2. If a material breach is not cured within that period, Licensor may terminate the license by written notice. Licensee must then stop using the Track and remove it from the Production, or remove the Production from all media.

12.3. Unlicensed use, including use beyond the Permitted Media or Tier, is not covered by this license, and Licensor keeps all remedies available under law.

13. Purchaser acting for a Licensee

A Purchaser buying for a Licensee warrants that it is authorized to do so. The license is issued in the Licensee's name. The Purchaser and the Licensee are jointly responsible for compliance. Before any use of the Track, the Licensee, or the Purchaser as its expressly authorized agent, confirms in writing (email is sufficient) that it accepts the License Sheet and these Standard Terms. Licensor delivers the files only after this confirmation. The Purchaser may not use the Track for any other purpose, including its own portfolio or other clients.

14. Governing law and disputes

14.1. This license is governed by French law. The parties shall first try to settle any dispute amicably, in writing.

14.2. Failing an amicable settlement, the competent French courts shall have jurisdiction. Where Licensee is a consumer, this does not deprive Licensee of the mandatory protections or jurisdiction rules of the country where Licensee lives.

15. General

15.1. Notices are sent by email to the addresses stated in the License Sheet.

15.2. Any change must be agreed in writing; email is sufficient.

15.3. If a provision is held invalid, the other provisions remain in force.

15.4. A failure to enforce a right is not a waiver of that right.

15.5. Payment of the License Fee and acceptance of the License Sheet, including by email, constitute acceptance of these Standard Terms.

Permitted media and credit placement

Tiers and fees

Above the highest Tier (over 1,000,000 followers or subscribers), and for paid media, sponsored content, distribution of a film (VOD-streaming, television, cinema release), trailers, promotional spots, radio broadcast, games, apps or exclusivity: quote on request.
